Agreement to these Terms

These Terms & Conditions ("Terms") are a binding agreement between you and HyperionX LLC, a Wyoming limited liability company ("HyperionX," "we," "us," or "our"). They govern your access to and use of HyperionX websites, desktop and web applications, software, beta programs, subscriptions, APIs, content, AI features, marketplaces, and related services (collectively, the "Services"). By accessing or using the Services, creating an account, or purchasing a plan, you accept these Terms. If you do not accept them, do not use the Services.

Eligibility and local law

• You must be at least 18 years old, have reached the age of legal majority where you live, and be legally able to enter into these Terms.
• You are responsible for following all local, state, provincial, national, and other laws and regulations that apply to your use of the Services and any connected trading activity.
• You may not use the Services if applicable law, sanctions, broker rules, exchange rules, market-data terms, or another binding restriction prohibits you from doing so.
• If you use the Services for an organization, you represent that you have authority to bind that organization to these Terms.

Software platform; no financial advice

HyperionX provides software for market research, charting, AI assistance, scripting, strategy validation and optimization, automation, trade-copying workflows, alerts, marketplace features, and related productivity functions. HyperionX is not a broker-dealer, investment adviser, futures commission merchant, commodity trading adviser, exchange, custodian, bank, or fiduciary. The Services do not provide personalized investment, legal, tax, or accounting advice, and no output is an offer, solicitation, recommendation, or guarantee of results.

Accounts and security

• Provide accurate, current information and keep it updated.
• Protect your credentials, devices, authentication methods, API keys, broker connections, and connected accounts. Do not share access except as expressly permitted by HyperionX.
• You are responsible for activity performed through your account or authorized connections. Notify support promptly if you suspect unauthorized access or compromise.
• We may require identity, eligibility, fraud-prevention, sanctions, or payment verification before providing or continuing access to certain Services.

License and acceptable use

Subject to these Terms and payment of applicable fees, HyperionX grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Services for personal or internal business purposes during the applicable access period. The Services are licensed, not sold.

• Do not copy, resell, rent, lease, distribute, sublicense, frame, mirror, scrape, crawl, benchmark for publication, or commercially exploit the Services unless HyperionX authorizes it in writing.
• Do not bypass access controls, probe security, introduce malware, overload infrastructure, interfere with another user, or reverse engineer the Services except where applicable law expressly permits that activity despite this restriction.
• Do not use the Services for market manipulation, fraud, unlawful surveillance, infringement, abusive automation, unauthorized access, or any activity that violates law or third-party rights.

Trading, AI, and automation responsibility

• You are solely responsible for every trade, order, position, strategy, script, prediction, copied workflow, automation, risk setting, and connected-account action you enable, submit, or rely on.
• AI-generated material may be incomplete, inaccurate, outdated, or unsuitable. Review and test outputs independently before relying on them or using them with live capital.
• Backtests, simulations, optimizations, hypothetical results, predictions, and demonstrations have inherent limitations and do not represent actual trading or guarantee future performance.
• Maintain appropriate human supervision, limits, permissions, and safeguards. You are responsible for disabling automation when market, connectivity, data, broker, or software conditions make continued operation inappropriate.

Subscriptions and automatic renewal

• Prices, included features, billing intervals, usage limits, taxes, and any promotional terms are shown on the pricing page, at checkout, or in the applicable order flow.
• If checkout identifies a subscription as recurring, it automatically renews for the stated billing interval until canceled. You authorize HyperionX and its payment processor to charge the payment method on file for recurring fees and applicable taxes.
• Cancel before the next renewal date using the cancellation method available in your account or by contacting support. Cancellation prevents future renewal and does not reverse charges already incurred or provide continued access beyond the paid period.
• We may change subscription pricing or plan features prospectively. When required, we will provide notice before a changed price applies to a future renewal.

No-refund policy

All purchases and subscription fees are final, and no refunds are allowed except where required by applicable law or where HyperionX approves a refund in writing in its sole discretion. Canceling a subscription does not create a right to a refund or credit for the current billing period. If HyperionX grants a discretionary refund, the refund will be prorated to reflect only the unused portion of the applicable subscription period after accounting for Services already provided, elapsed access, AI credits or usage consumed, marketplace items or other benefits used, applicable taxes, and nonrecoverable payment-processing or third-party charges. Nothing in this section limits non-waivable consumer rights.

Trials, credits, and promotions

• A free or promotional trial exists only when expressly offered in the applicable signup or checkout flow. Trial length, eligibility, conversion, and cancellation terms shown there control.
• Unless the offer states otherwise, a trial may convert to a paid subscription at its end if you provided a payment method and agreed to recurring billing.
• AI credits, promotional credits, discounts, and similar benefits are non-transferable, have no cash value, and may reset or expire as described with the applicable plan or offer.
• We may limit, revoke, or refuse a trial or promotion where we reasonably believe it has been abused, duplicated, obtained through misrepresentation, or used contrary to its terms.

Payments and taxes

• You authorize our payment processor to store and charge your selected payment method for amounts you approve, including recurring charges where applicable.
• You are responsible for applicable sales, use, value-added, withholding, or similar taxes, excluding taxes based on HyperionX income.
• We may suspend paid features after a failed, reversed, disputed, or past-due payment. You remain responsible for valid charges and reasonable collection costs permitted by law.
• Do not send full card numbers or other sensitive payment credentials to HyperionX support.

Beta and pre-release features

Beta, preview, experimental, or pre-release features may be incomplete, inaccurate, unstable, confidential, changed, rate-limited, suspended, or discontinued at any time. They may not be suitable for live trading or production use. Beta participation does not guarantee continued access, final functionality, future pricing, support levels, or commercial release.

Third-party services and market data

The Services may interoperate with brokers, exchanges, market-data providers, payment processors, AI providers, hosting providers, customer-support providers, marketplace vendors, and other third parties. Their separate terms, privacy policies, permissions, fees, and availability apply. HyperionX does not control and is not responsible for their data, execution, custody, outages, security, decisions, or performance. Connecting a third-party account authorizes the data exchanges and actions you select.

Creator Marketplace

• Marketplace listings, scripts, indicators, strategies, agents, descriptions, and support may be provided by independent creators, not HyperionX.
• You must evaluate marketplace content before use. Availability, compatibility, results, and creator statements are not guaranteed or endorsed merely because content appears on the platform.
• Purchases, subscriptions, licenses, refunds, creator payouts, and disputes may be subject to additional marketplace terms shown in the applicable flow or creator agreement.
• HyperionX may review, remove, restrict, or suspend content or accounts to protect users, comply with law, enforce policies, or address security and intellectual-property concerns.

Your content and data

You retain rights you hold in prompts, scripts, indicators, strategies, files, messages, feedback, and other content you submit. You grant HyperionX and its service providers a worldwide, non-exclusive license to host, copy, transmit, process, display, and otherwise use that content only as reasonably necessary to provide, secure, support, maintain, and improve the Services, comply with law, and enforce these Terms. You represent that you have all rights and permissions necessary to submit the content and that it is not unlawful, infringing, malicious, deceptive, or harmful.

HyperionX intellectual property

The Services, software, interfaces, designs, logos, documentation, content, models, workflows, and platform features are owned by HyperionX or its licensors and are protected by intellectual-property laws. Except for the limited license expressly granted in these Terms, no right, title, or interest is transferred to you. Feedback may be used without restriction or compensation, provided HyperionX does not claim ownership of your underlying content.

Availability and changes

We may maintain, update, modify, add, limit, suspend, or discontinue any part of the Services. We do not guarantee uninterrupted access, compatibility with every device or third-party service, preservation of every feature, or error-free operation. Where reasonably practicable, we will provide notice of material changes that adversely affect a paid subscription.

Suspension and termination

You may stop using the Services at any time. HyperionX may suspend or terminate access when reasonably necessary to address security, abuse, legal, sanctions, payment, fraud, third-party, or operational risk; enforce these Terms; or protect users and the Services. Provisions that by their nature should survive termination—including payment obligations, ownership, disclaimers, liability limits, indemnification, and dispute terms—will survive.

Warranty disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." HYPERIONX DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, SECURITY, AND UNINTERRUPTED AVAILABILITY. HYPERIONX DOES NOT WARRANT TRADING RESULTS, PROFITS, PERFORMANCE, OR THAT ERRORS WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE TERMS MAY NOT APPLY TO YOU.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYPERIONX AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR TRADING OR INVESTMENT LOSSES; LOST PROFITS, REVENUE, DATA, OR GOODWILL; BUSINESS INTERRUPTION; THIRD-PARTY FAILURES; MARKET-DATA OR EXECUTION ISSUES; AI OR AUTOMATION ERRORS; OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. THE TOTAL AGGREGATE LIABILITY ARISING OUT OF THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID HYPERIONX FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT. THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY, BUT DO NOT LIMIT LIABILITY THAT CANNOT LAWFULLY BE LIMITED.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless HyperionX LLC and its owners, officers, employees, contractors, and affiliates from third-party claims, losses, liabilities, damages, judgments, costs, and reasonable legal fees arising from your content, your connected services, your trading or marketplace activity, your misuse of the Services, your breach of these Terms, or your violation of law or third-party rights. HyperionX will provide reasonable notice and may control the defense and settlement of the claim.

Force majeure

HyperionX is not responsible for delay or failure caused by circumstances outside its reasonable control, including market disruption, exchange or broker outages, internet or power failures, cloud or data-provider outages, cyberattacks, labor disputes, government actions, natural disasters, war, civil unrest, or similar events.

Governing law and venue

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Except where applicable law gives you a non-waivable right to bring a claim elsewhere, the state courts located in Sheridan County, Wyoming, and the federal courts having jurisdiction in Wyoming will have exclusive jurisdiction over disputes arising from these Terms or the Services, and you consent to their personal jurisdiction. Before filing a claim, each party agrees to make a good-faith effort to resolve the dispute by written notice and 30 days of direct discussion.

General terms

These Terms, together with the Privacy Policy, Cookie Policy, HyperionX Disclosures, and any plan, order, marketplace, beta, or creator terms presented to you, form the entire agreement about the Services and supersede prior discussions on that subject. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will remain effective. A waiver must be in writing and is not a continuing waiver. You may not assign these Terms without our written consent; HyperionX may assign them as part of a merger, financing, reorganization, sale of assets, or by operation of law.

Changes to these Terms

We may update these Terms from time to time. We will post the revised Terms and update the date above. When required by law, we will provide additional notice or request renewed consent. Changes apply prospectively when they become effective. Continued use after the effective date constitutes acceptance of the revised Terms.

Legal notices to HyperionX must identify the sender, account email, issue, and requested resolution. HyperionX may send notices to the email associated with your account or through the Services.
